Dextelite is a digital marketing agency based in Delhi, India. We provide performance-driven marketing services to businesses that want real growth, not vanity metrics.

We’re not a traditional agency. We’re a growth partner focused on measurable outcomes.

Services We Provide

We deliver digital marketing solutions across multiple disciplines:

Search Engine Optimization (SEO)

Technical audits, on-page optimization, content strategy, link building, local SEO, SEO recovery, ongoing optimization.

Performance Marketing

Google Ads, Facebook Ads, LinkedIn Ads, display advertising, retargeting, conversion tracking, campaign optimization.

Content Marketing & Strategy

Content planning, blog writing, website copy, email campaigns, content calendars, distribution strategy.

Social Media Management

Strategy development, content creation, community management, paid social, influencer coordination, analytics.

Website Optimization & CRO

Conversion rate optimization, landing page design, A/B testing, user experience improvements, performance audits.

Service specifics, scope, deliverables, timelines, pricing, all defined in your individual service agreement or proposal. That’s your contract. These terms supplement it.

How We Work Together

Your Responsibilities

To deliver results, we need your active participation:

  • Provide accurate information: About your business, goals, target audience, competition
  • Grant necessary access: To platforms, accounts, analytics, social media, advertising accounts
  • Respond timely: To questions, feedback requests, approval needs
  • Provide quality materials: Brand assets, content, images, product information
  • Pay on time: Per the agreed payment schedule
  • Follow platform rules: Your content and campaigns must comply with advertising policies and laws

We can’t deliver results if you ghost us. Partnership requires collaboration.

Our Responsibilities

What you can expect from us:

  • Strategic approach: Data-driven strategies tailored to your goals
  • Transparent communication: Weekly updates, clear reporting, honest conversations
  • Continuous optimization: Regular monitoring, testing, and refinement
  • Professional execution: Industry best practices, ethical methods, quality work
  • Accountability: We own our results and recommendations

We bring expertise and execution. You bring business knowledge and decision-making.

Payment Terms

Pricing & Invoicing

Pricing is outlined in your service agreement. We typically offer:

  • Monthly retainers: For ongoing services
  • Project-based pricing: For defined scope work
  • Hourly rates: For consulting or ad-hoc work

Invoices are sent per your agreement, typically monthly or at project milestones.

Payment Deadlines

Payment is due within the timeframe specified in your contract, usually 7-15 days from invoice date.

Late payments:

  • Services may be paused after 7 days overdue
  • Late fees may apply per your contract
  • Severely overdue accounts may be sent to collections

We’d rather work than chase payments. Pay on time. We’ll deliver on time.

Refund Policy

Refunds are handled case-by-case based on:

  • Work completed: You pay for work delivered, even if partnership ends early
  • Service agreements: Specific refund terms may be in your contract
  • Good faith efforts: If we’ve delivered quality work in good faith, refunds are unlikely

No refunds for:

  • Algorithm changes affecting results
  • Platform policy updates
  • Market competition increases
  • Client-side delays or lack of collaboration
  • Changing your mind after work is done

Digital marketing isn’t a product you can return. It’s a service that requires time and expertise.

Intellectual Property

Our Property

Everything on our website, text, graphics, logos, designs, code, methodologies, processes, tools, is owned by Dextelite or licensed to us.

You cannot:

  • Copy our content
  • Steal our strategies
  • Reproduce our materials
  • Reverse-engineer our processes

Your Property

You retain full ownership of:

  • Your brand: Logo, trademarks, brand identity
  • Your content: Provided materials, product info, business data
  • Your accounts: Social media, advertising, analytics, website

By engaging us, you grant a license to use these assets for service delivery.

Work Product & Deliverables

Content, designs, strategies, and materials we create for you transfer to you upon full payment, unless otherwise specified.

  • Until final payment: We retain rights to work product
  • After final payment: You own deliverables, we retain methodology

Portfolio & Case Studies

We may showcase our work with you in our portfolio, website, or marketing materials. With your approval.

We’ll ask permission. You can say no. Or request anonymity (showing results without naming you).

Confidentiality

Both parties handle confidential information:

  • Your confidential info: Business strategies, financial data, customer lists, proprietary processes
  • Our confidential info: Methodologies, tools, pricing strategies, processes

We agree to:

  • Keep confidential information private
  • Use it only for business purposes
  • Not disclose to third parties without permission
  • Return or destroy it upon partnership termination

Exceptions: Information that’s public, legally required to disclose, or independently developed.

Results, Performance & Expectations

Let’s be crystal clear about expectations:

What We Commit To

  • Strategic expertise: Proven strategies backed by data and experience
  • Transparent reporting: Clear metrics, honest analysis, regular updates
  • Continuous optimization: Testing, refining, improving based on performance
  • Professional execution: Quality work delivered on time
  • Ethical practices: White-hat methods, compliance with platform policies

What We Don’t Promise

  • Specific rankings: Search algorithms change constantly. We can’t promise #1 positions.
  • Traffic volumes: We optimize for quality traffic, not just numbers.
  • Conversion rates: Many factors affect conversions beyond our control.
  • Revenue targets: Your product, pricing, market conditions all play a role.
  • Social media growth: Audience building takes time and depends on content quality.

Why No Promises?

Digital marketing operates in an ecosystem we don’t fully control:

  • Google changes algorithms 500+ times per year
  • Facebook updates ad policies weekly
  • Competitors adjust strategies constantly
  • Market conditions shift
  • Platform costs fluctuate
  • Consumer behavior evolves

We control strategy and execution. We don’t control Google’s code, Meta’s policies, or your competitors’ budgets.

Results Depend On

  • Your industry: Some niches are more competitive
  • Your budget: Bigger budgets enable more aggressive strategies
  • Your current state: Stronger foundations produce faster results
  • Your collaboration: Faster responses = faster results
  • Market timing: Seasonality and trends affect performance
  • Quality of assets: Better products/services convert better

We maximize what’s possible within these constraints. We don’t promise miracles.

Limitation of Liability

To the fullest extent permitted by law:

Our Maximum Liability

Our total liability for any claim is limited to the amount you paid us in the 3 months immediately preceding the claim.

Example: You pay ₹50,000/month. Something goes wrong in month 6. Maximum we’re liable for: ₹1,50,000 (months 4, 5, 6).

What We’re Not Liable For

  • Indirect damages: Lost profits, lost revenue, lost opportunities, business interruption
  • Consequential damages: Damage to reputation, loss of customers, competitive disadvantage
  • Third-party issues: Platform outages, algorithm changes, policy updates
  • Force majeure: Events outside our control (pandemics, natural disasters, government actions)

Your Responsibility

You’re responsible for:

  • Your content: Copyright compliance, accuracy, appropriateness
  • Your claims: Truthfulness in advertising, product claims, testimonials
  • Your legal compliance: Industry regulations, advertising laws, data protection
  • Platform violations: If your content violates platform policies, that’s on you

Platform & Algorithm Changes

Digital platforms evolve constantly. This affects everyone:

Platform Updates

Google, Meta, LinkedIn, and others update:

  • Algorithms: Search ranking factors, ad auction dynamics, content distribution
  • Policies: Advertising rules, content guidelines, account requirements
  • Features: Tools get added, removed, or changed
  • Pricing: Ad costs fluctuate based on demand and platform changes

We adapt strategies to platform changes. But we can’t predict or prevent them.

Not Liable For

  • Algorithm updates that affect your rankings or traffic
  • Policy changes that impact your campaigns
  • Platform outages or technical issues
  • Cost increases due to competition or platform pricing
  • Feature removals that affect our strategies

We stay ahead of changes. We adjust quickly. But we don’t write platform code.

Termination

Partnerships sometimes end. Here’s how:

How to Terminate

Either party can end services per the terms in your service agreement. Typically:

  • Monthly agreements: 30 days written notice
  • Project-based: Complete the project or pay for work done
  • Immediate termination: For breach of contract, non-payment, or unethical behavior

What Happens After

  • Outstanding fees: You pay for all completed work and expenses incurred
  • Deliverables: We provide completed work products
  • Access: We revoke our access to your platforms and accounts
  • Confidentiality: Both parties continue to protect confidential information
  • Data: We return or destroy your data per your request

Early Termination

If you end services early (before contract term):

  • You pay: For work completed up to termination date
  • Setup fees: May be non-refundable (if specified in contract)
  • Project minimums: May apply for partially completed projects

We’d rather retain clients through great work than contracts. But contracts protect both of us.

Third-Party Tools & Services

We use various platforms and tools to deliver services:

  • Analytics: Google Analytics, Search Console, data visualization tools
  • Advertising: Google Ads, Facebook Ads Manager, LinkedIn Campaign Manager
  • SEO: Ahrefs, SEMrush, Screaming Frog, various SEO tools
  • Social: Scheduling tools, social listening, content platforms
  • Communication: Project management, file sharing, collaboration tools

We’re not responsible for:

  • Third-party tool performance or availability
  • Price changes or feature updates
  • Data security practices of third parties
  • Tool outages or technical issues

We choose reliable tools. But we don’t control them.

What We Promise

What We Stand Behind

  • We have the right to provide these services
  • We’ll use reasonable care in delivering services
  • We’ll follow industry standards and ethical practices
  • We own or have licenses for tools and content we provide

What We Can’t Control

Services are provided “as is” beyond what’s stated above.

We can’t promise:

  • Specific results or outcomes
  • Uninterrupted or error-free service
  • Compatibility with all platforms or browsers
  • Future platform or algorithm behavior

Indemnification

You Indemnify Us

You agree to defend, indemnify, and hold harmless Dextelite from claims arising from:

  • Your content: Copyright infringement, false advertising, defamation
  • Your business: Product liability, service issues, customer disputes
  • Your violation: Of these terms, platform policies, or applicable laws
  • Your negligence: Providing wrong information, granting wrong access

We Indemnify You

We agree to defend, indemnify, and hold you harmless from claims that our work infringes someone else’s intellectual property (if we created the work).

Dispute Resolution

We prefer to resolve issues directly:

Step 1: Good Faith Discussion

If there’s a problem, let’s talk. Most issues resolve through honest conversation.

Email harsh@dextelite.com. We’ll schedule a call. We’ll work it out.

Step 2: Mediation

If direct discussion fails, we’ll try mediation, a neutral third party helps us find resolution.

Step 3: Legal Action

As a last resort, legal proceedings under Indian law, Delhi jurisdiction.

Governing Law

These terms are governed by the laws of India. Exclusive jurisdiction: Courts in Delhi, India.

Entire Agreement

These Terms and Conditions, together with your service agreement, constitute the complete agreement between you and Dextelite.

They supersede:

  • Prior discussions
  • Verbal agreements
  • Preliminary proposals
  • Email conversations (unless incorporated into your service agreement)

Modifications: Changes to these terms must be in writing and signed by both parties. We can update these general terms, but your specific service agreement remains unless both parties agree to changes.

Severability

If any provision of these terms is found invalid or unenforceable, the rest remains in effect.

Waiver

Our failure to enforce any right doesn’t waive that right. We can still enforce it later.

Assignment

You can’t transfer your contract without our consent. We can assign to a successor entity (acquisition, merger, etc.) with notice to you.

Updates to Terms

We may update these terms to reflect:

  • Legal changes: New regulations, laws, compliance requirements
  • Business evolution: New services, updated processes
  • Industry standards: Best practices, ethical guidelines

We’ll notify you:

  • By email for material changes
  • By posting updates with new “Last Updated” date

Continued use after changes = acceptance
